Terms of Service

These terms apply when you order an audit, optimization or maintenance from CartWhy (“we”). Our services are for businesses: by ordering, you confirm you are ordering for a business, not as a consumer. Your written quote sets the scope, price and dates. These terms still govern payment, refunds and liability, unless the quote names the clause it changes.

CartWhy is operated by Vojislav Savičić PR W3UP, Loznica, Serbia, registered with the Serbian Business Registers Agency (APR). Registration number: 67470931. Tax ID (PIB): 114302768.

Prices and payment

• Prices are in US dollars, as shown on this site or in your written quote. No VAT is added: CartWhy is not registered for VAT. Any taxes due in your country are yours to pay.
• Everything is paid in full before the work starts: the audit, the optimization, and each month of maintenance. If a maintenance payment is late, the work waits until it arrives.
• The start date is the day we confirm in writing, after your payment arrives.

Audits

• An audit reviews the public part of your Shopify store. We do not need access, and we do not place orders or change anything.
• The report arrives within 7 business days of the start date. Every audit, full or single, includes answers to your questions about the report for 30 days after delivery.
• The report shows your store as it was on the days we reviewed it. Once paid, it is yours to use and to share with your own developer.
• If your store can’t be reviewed, for example because it is behind a password or not on Shopify, you get a full refund.
• If you cancel before the start date, you get a full refund. Once the work has started, the fee is not refunded.

Optimization

• The scope is the written fix list from your audit, with a fixed price and a date. Full store optimization takes 2–4 weeks and a single area 1–2 weeks, on the date in your quote.
• Speed optimization can also be ordered without an audit. Its scope then comes from our first look at your store, and the work starts with a full speed check. We do not promise a score, a load time or more sales; we test each change before and after and report the numbers.
• We work on one unpublished copy of your theme, and the price covers work on that copy. Changes go live only after you approve them, and your previous theme stays saved. While we work, please pause changes to your theme. If you, your developer or an app changes the live theme in the meantime, the same change must also be made on our copy, by you or your developer; if you ask us to make it, we quote it first. Changes made only on the live theme are not carried over when the copy goes live, and we are not responsible for differences between the two themes that such changes cause.
• If you cancel before the start date, you get a full refund. Once the work has started, the fee is not refunded.
• A fix is finished when it meets its “Done when” from your audit. Changes beyond that are a new request, quoted first.
• Work outside the agreed scope is quoted separately before we do it.
• After launch you get 30 days of support: we stay on hand for your questions, and any adjustment to the work we did is included. New requests, new apps and changes made by others after launch are quoted separately.
• Ordered within 30 days of receiving the audit report, optimization is 20% off.

Maintenance

• Billed monthly, in advance. Month-to-month, with no minimum term.
• Each month includes 20 hours of work. Unused hours do not carry over to the next month.
• Speed checks and update checks are part of every month and do not use the 20 hours. A fix that follows from them is estimated and approved like any other.
• Each fix gets an estimate in hours, which you approve before the work starts. Extra hours beyond the 20 are $95 each, agreed in advance.
• Urgent problems (the cart, the buy button or a page not working) are started within 24 hours, 7 days a week. During time off announced at least two weeks ahead, within 48 hours. Urgent work counts toward the monthly hours.
• If you cancel before the first month’s work starts, you get a full refund. Once work has started, a paid month is not refunded.
• Either side can cancel at any time, in writing. The month already paid runs to its end, with its hours, and nothing more is billed.

What you provide

• Collaborator access when work in your theme is needed, and timely approvals.
• Licenses for the apps, fonts and images used on your store.

If access or approvals arrive late, our dates move by the same number of days.

What we do not promise

We do not guarantee conversion rates, revenue, rankings or mentions in AI search. Results depend on your traffic, products, prices and many things outside our work. We do promise that every finding is something we saw on your store, with the change we recommend.

Confidentiality and your work

We keep your store data and reports private. We show your store name, logo or results on our website only with your written permission. Theme changes we make for you are yours once paid in full.

Liability

Our total liability for any project is limited to the fees you paid for that project, and we are not liable for lost sales, lost profit or other indirect loss. These limits do not apply to damage caused intentionally or through gross negligence.

Governing law

These terms are governed by the laws of the Republic of Serbia. Any dispute goes to the competent court in Serbia.

Changes

We may update these terms. The terms in force on the day you order apply to that order.
